This suit arises out of efforts by United Air Lines pilots to take over the airline, and by the airlines directors and the union representing the airlines machinists to prevent the takeover. When these efforts were first mounted, the airline was a subsidiary of a larger enterprise, and the contemplated takeover was of the entire enterprise. But the pilots wanted to divest the enterprise of its nonairline assets, so that when all the dust settled the pilots would own the airline and nothing else. To simply exposition we shall pretend that the planned takeover was of a free-standing airline company -- which United has since become as a result of a decision by the board of directors of the parent corporation to sell the nonairline assets.
